Practice Areas

Bankruptcy & Creditors’ Rights

Has your customer paid you late or asked for additional credit or payment extensions?

Has your supplier missed delivery deadlines?

Do your calls and emails go unanswered?

Are there news reports about the financial difficulties facing such customer or supplier?

Sharon provides advice on strategies to consider and options to evaluate – both before and after a bankruptcy is filed.

The bankruptcy world can be frustrating with its own jargon and unforgiving deadlines.  The answers are counterintuitive and often involve the interpretation of state law and other federal law.  Hiring a lawyer that has significant experience in this area is key to mitigating your risks.

Business Transactions — Supply Chain

Do you need fit-for-purpose contract templates for your business?

Have you determined that your contracts need a refresh?

Are you dealing with your counterparty’s form of contract?

Sharon provides advice from contract formation and development to contract negotiations.

She develops contract templates and fallback provisions based on your company’s specific business needs.  She also analyzes your existing contracts, identifying issues and providing alternative language to mitigate risks.

Business Transactions — Mergers & Acquisitions

Are you exploring options to expand your business?

Are you interested in purchasing assets from a bankrupt company?

Are you facing post-closing issues?

Sharon provides advice to parties on due diligence, tag-along and drag-along issues, right of first refusal, purchase and sale agreements, and post-closing issues.  For bankruptcy sales, Sharon also assists you in navigating the additional complexities you may face in the bidding and sale process.
